1.1 By applying for, activating, or using the Masis Card or any related service made available at card.masis.club (the "Platform"), you ("you", "your", "Cardholder") enter into a binding agreement with QuantumOcta. By completing onboarding you confirm you have read, understood, and accepted these Terms, the Acceptable Use Policy, and the Privacy Policy, each of which is incorporated by reference.
1.2 The Card itself, including issuance, the Spending Balance, card transaction processing, and KYC/AML verification, is provided by the Issuer and the Program Manager pursuant to their own terms, which apply to you directly and are referenced where relevant. QuantumOcta's role is limited to: (a) operating the Platform and customer interface; (b) onboarding and facilitating access to the Issuer's and Program Manager's services; (c) facilitating stablecoin top-up instructions; and (d) customer support and billing of QuantumOcta's own service fees.
"Card" means a Visa virtual or physical card issued by the Issuer through the Program Manager's card program, accessible via the Platform.
"Issuer" means Reap Technologies Limited, a Hong Kong company and principal member of the Visa Card Network.
"Program Manager" means Leadtone Asia Limited, which operates the underlying card program technology on behalf of the Issuer.
"Spending Balance" means the balance available to settle Card transactions, held and administered by the Issuer and/or Program Manager.
"Stablecoin" or "VA" means USDT or USDC, on the Ethereum (ERC20) or Tron (TRC20) networks, accepted for top-up.
"Restricted Jurisdiction" means any jurisdiction subject to comprehensive sanctions, FATF blacklist designation, or otherwise designated restricted under Clause 3.5 and the Acceptable Use Policy.
"Fees" means amounts payable to QuantumOcta, the Issuer, the Program Manager, and/or the Visa Card Network in connection with the Card and Services.
3.1 You represent and warrant on an ongoing basis that you: (a) are at least 18 years old or the minimum legal age in your jurisdiction; (b) have full legal capacity to accept these Terms; (c) are not a Restricted Person under applicable sanctions law; (d) are not resident in, incorporated in, or otherwise connected to a Restricted Jurisdiction; (e) will use the Card only for lawful purposes; and (f) the information you provide is accurate and current.
3.2 Card issuance is conditional on successful completion of KYC/AML verification, which is performed by the Issuer, Reap Technologies Limited. QuantumOcta may collect and relay information required for this verification but does not itself make issuance decisions. By applying for the Card, you confirm you have read and agree to the Issuer's privacy policy at reap.global/resources/info/privacy-policy, which governs the Issuer's independent processing of your Personal Data for KYC/AML and card-issuance purposes.
3.3 QuantumOcta, the Issuer, and the Program Manager each reserve the right, in their sole discretion, to decline an application, decline to issue a Card, or revoke an issued Card at any time, including on AML/CTF, sanctions, fraud, or risk grounds.
3.4 You must not hold more than one Card under the same identity unless expressly permitted.
3.5 Restricted Jurisdictions include, without limitation, any country or territory subject to comprehensive sanctions by the United Nations, the United States (OFAC), the European Union, the United Kingdom, or Hong Kong, and any jurisdiction listed on the FATF list of High-Risk Jurisdictions Subject to a Call for Action. The current list is maintained in the Acceptable Use Policy and may be updated without prior notice.
4.1 The Card is available as a virtual card (issued instantly upon approval) and/or a physical card (issued and shipped on request, subject to delivery restrictions by jurisdiction).
4.2 Each Card is subject to spend, load, and transaction limits set by the Issuer and/or Program Manager according to your account tier ("Card Limits"). Card Limits may be amended at the Issuer's or Program Manager's discretion without prior notice. Transactions exceeding the Spending Balance or applicable Card Limit will be declined.
4.3 The physical Card remains the property of the Issuer at all times. You must safeguard the Card and Card Data and report loss, theft, or unauthorized use immediately to support@masis.club.
4.4 The Card is valid for the period printed on it or indicated on the Platform, unless earlier suspended or terminated.
5.1 You may fund the Spending Balance by sending USDT or USDC on the Ethereum (ERC20) or Tron (TRC20) network to the deposit address assigned to your account. Sending unsupported assets or using unsupported networks may result in permanent loss of funds, for which QuantumOcta bears no responsibility.
5.2 Top-ups are converted and credited to the Spending Balance by the Issuer's and/or Program Manager's third-party service providers. Crediting times depend on blockchain confirmation times and are outside QuantumOcta's control.
5.3 QuantumOcta does not at any point hold, custody, or control your stablecoins, the Spending Balance, or any wallet. All funds are held by the Issuer and/or its third-party service providers in accordance with their own terms.
5.4 Stablecoin top-ups, once credited, are non-refundable and irrevocable except as required by Clause 8 (Disputes) or applicable law.
5.5 Where a Card transaction requires currency conversion (including conversion from the Spending Balance to the relevant fiat settlement currency), the applicable Visa Card Network exchange rate plus any conversion margin disclosed on the Platform will apply.
6.1 The following Fees apply, in addition to any Fees separately disclosed by the Issuer or Program Manager (e.g., ATM withdrawal fees, international transaction fees):
6.2 Fees are exclusive of any applicable taxes. Fees once charged are non-refundable. QuantumOcta may amend Fees with at least 30 days' notice via the Platform or email; continued use after the effective date constitutes acceptance.
6.3 If the Spending Balance is insufficient to cover accrued Fees, QuantumOcta and/or the Program Manager may suspend the Card until the account is funded.
7.1 The Card may be used for lawful purchases and ATM withdrawals wherever Visa is accepted, subject to Card Limits and the Acceptable Use Policy.
7.2 You must not use the Card for any unlawful purpose, for transactions involving Restricted Persons or Restricted Jurisdictions, or for any purpose prohibited under the Acceptable Use Policy or Visa Card Network rules.
7.3 The Issuer and/or Program Manager may decline, reverse, or void any transaction at their discretion, including for risk management, fraud prevention, or regulatory compliance.
8.1 If you believe a Card transaction is unauthorized or incorrect, notify support@masis.club within 30 days of the transaction date. QuantumOcta will relay the dispute to the Issuer for processing under Visa Card Network rules.
8.2 You agree to cooperate with any investigation and provide supporting documentation as requested. Decisions on disputes and chargebacks are made by the Issuer and/or Visa Card Network and are final and binding, subject to applicable law.
8.3 Dispute and chargeback processing fees, where charged by the Issuer or Card Network, may be deducted from the Spending Balance and are non-refundable.
9.1 QuantumOcta, the Issuer, or the Program Manager may suspend, limit, or terminate your access to the Card or Services at any time, without notice, where required for legal or regulatory compliance, suspected fraud or AML/CTF concerns, breach of these Terms, or at their reasonable discretion.
9.2 You may request closure of your account via support@masis.club. Any remaining Spending Balance will be handled per the Issuer's withdrawal procedures; failure to withdraw within the prescribed timeframe may result in forfeiture per the Issuer's terms.
9.3 Obligations accrued prior to termination survive termination.
Your Personal Data is processed in accordance with our Privacy Policy. Personal Data may be shared with the Issuer, Program Manager, and Visa Card Network as necessary to provide the Services and to comply with KYC/AML obligations. To the extent your Personal Data is shared with the Issuer, Reap Technologies Limited, you acknowledge that the Issuer processes such data in accordance with its own privacy policy, available at: reap.global/resources/info/privacy-policy.
11.1 To the fullest extent permitted by applicable law, QuantumOcta disclaims all warranties, express or implied, regarding the Services, including merchantability, fitness for a particular purpose, and non-infringement.
11.2 QuantumOcta is not liable for: (a) acts, omissions, errors, or failures of the Issuer, Program Manager, Visa Card Network, or any third-party service provider; (b) blockchain network delays, failures, or incorrect top-up instructions caused by you; (c) loss arising from Force Majeure Events; or (d) indirect, incidental, special, consequential, or punitive damages, lost profits, or lost opportunities.
11.3 QuantumOcta's total aggregate liability arising out of or in connection with the Services is limited to the Fees actually paid by you to QuantumOcta in the three (3) months preceding the event giving rise to the claim.
11.4 Nothing in these Terms limits liability for fraud, or for death or personal injury caused by negligence, where such limitation is prohibited by law.
You agree to indemnify and hold harmless QuantumOcta, its officers, employees, and agents from any losses, claims, or liabilities arising from your breach of these Terms, your violation of applicable law, or your use of the Card or Services.
13.1 These Terms are governed by the laws of Hong Kong, without regard to conflict-of-law principles.
13.2 Any dispute arising out of or in connection with these Terms, including its existence, validity, interpretation, performance, breach, or termination, shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force at the time of submission. The seat of arbitration shall be Hong Kong. The tribunal shall consist of one (1) arbitrator. The language of arbitration shall be English. The parties shall first attempt good-faith negotiation for 30 days before commencing arbitration. QuantumOcta may seek emergency injunctive relief from a court of competent jurisdiction without waiving the right to arbitrate.
14.1 Amendment. QuantumOcta may amend these Terms at any time by posting updated Terms on the Platform. Continued use after the effective date constitutes acceptance.
14.2 Severability. If any provision is held invalid, the remaining provisions remain in full force.
14.3 Assignment. You may not assign these Terms. QuantumOcta may assign its rights and obligations to an Affiliate or successor.
14.4 Entire Agreement. These Terms, together with the Acceptable Use Policy and Privacy Policy, constitute the entire agreement between you and QuantumOcta regarding the Services.
14.5 Notices. Notices to QuantumOcta should be sent to support@masis.club. Notices to you will be sent to the email address on file or posted on the Platform.
